PayPay Linkage Terms of Use
*English version is a translation of the original Japanese version of the Terms. In the case of discrepancy between the English version and the original Japanese version of the Terms, the original Japanese version shall prevail.

Article 1 (Acceptance and Scope of these Terms and Changes)
1 These Terms of Use ("Terms") set forth the handling of the use of the PayPay Money linked service ("Service") provided by Binance Japan Ltd. ("Binance Japan"). Users shall fully understand the contents of these Terms and agree to them prior to using the Service.
2 These Terms are supplemental to and shall be read together with the Binance Japan Terms of Use (“Terms of Use”). The provisions of the Binance Japan Terms shall apply to these Terms to the extent possible given their content and nature. These Pay Terms constitute Product Terms. References to the "Service" in the Binance Japan Terms shall include the services contemplated under these Terms.
3 Binance Japan may establish various rules, FAQ and regulations ("Individual Provisions") regarding the use of the Service in addition to these Terms. In the event of any conflict between these Terms and the Individual Provisions, the provisions of the Individual Provisions shall prevail.
Article 2 (Service Description)
The Service provided by Binance Japan to users consists of the following: upon the user's request, using the fund transfer service provided by PayPay Corporation ("PayPay"), the user makes a remittance equivalent to the purchase price for buying Crypto Assets ("Buy with PayPay Money"), and sells designated Crypto Assets and withdraws the sale proceeds (as defined in Article 6, Paragraph 5) to the user's PayPay Money account based on the user's instructions in accordance with Article 6 (hereinafter "Sell to PayPay Money").
Article 3 (Definitions)
Unless otherwise defined in these Terms, the meanings of the terms used herein shall be as defined in Terms of Use. The following terms shall have the meanings set forth below:
(1) "PayPay Account" means an account for the services provided by PayPay.
(2) "PayPay Money" means an electronic record issued by PayPay that can be used for payment of goods and services, and can be transferred and withdrawn.
(3) "PayPay Money Account" means an account necessary for electronically recording and storing PayPay Money.
(4) "Withdrawal to PayPay Money Account" means the recording of an increase in the amount of PayPay Money held by the user on the user's PayPay Money Account in connection with "Sell to PayPay Money."
(5) "PayPay Points" means electronic records granted by PayPay or its partners without receiving payment from the user, in accordance with conditions set by PayPay or its partners, which can be used for payment or discounts for goods or services.
Article 4 (Account Link)
1 Only users who have opened a PayPay Account and a PayPay Money Account in accordance with the PayPay Service Terms of Use and related agreements established by PayPay may use the Service.
2 To use the Service, users must review the PayPay Service Terms of Use and related agreements and complete the account link. If such procedure is interrupted midway, the Service cannot be used.
3 During the account link, users will be redirected from the Binance Japan service to the PayPay website to log in. After logging in, the user’s identity verification information (Katakana name and date of birth) will be shared with PayPay. Please proceed with the account link only after giving your consent. Information provided by Binance Japan to PayPay during and after the account link will be handled and managed in accordance with PayPay’s privacy policy.
4 The name on the PayPay Account and PayPay Money Account used for the Service must be identical to the name on the Binance Japan account.
5 Users may unlink their accounts by following the procedures prescribed by Binance Japan and PayPay.
Article 5 ("Buy with PayPay Money" Orders)
1 Users may select "Buy with PayPay Money" when placing orders for Crypto Assets purchase transactions on Binance Japan’s Convert trading service (OCBS). Please note that the Service cannot be used for other Crypto Assets transactions, including Spot trading.
2 Notwithstanding the provisions of Article 12 of Terms of Use, the provisions of this Article shall apply to orders via "Buy with PayPay Money."
3 When placing an order using "Buy with PayPay Money," users shall clearly instruct Binance Japan, by the method prescribed by Binance Japan, of the type of Crypto Assets to be ordered, that the transaction is a Crypto Assets purchase, that "Buy with PayPay Money" is to be used, the order amount or quantity, and any other matters to be instructed by the user.
4 Orders under the preceding paragraph shall be placed only through Binance Japan’s Convert trading service (OCBS). In principle, orders shall not be accepted by telephone, fax, email, or other means, including in the event of system failures. However, this shall not apply if otherwise specified by Binance Japan.
5 When placing an order through "Buy with PayPay Money," the user shall make payment to Binance Japan by instructing a remittance of PayPay Money equivalent to the amount payable upon execution of the order (hereinafter "Settlement Price") from the user’s PayPay Money Account to Binance Japan, thereby reducing the balance of PayPay Money in the user’s PayPay Money Account by the Settlement Price. PayPay Points held in the user’s PayPay Account may be applied toward such payment. However, if Binance Japan determines that it is inappropriate for the user to continue trading Crypto Assets, Binance Japan may impose restrictions on new orders from the user.
6 In making the payment set forth in the preceding paragraph, the user shall instruct PayPay to execute the "Buy with PayPay Money" transaction and shall grant Binance Japan the authority to transmit such instruction on the user’s behalf.
7 If the available balance of PayPay Money is insufficient to cover the Settlement Price, or if there are restrictions due to PayPay Money usage limits (purchase limits), or if PayPay’s services are under maintenance, or if communication errors or other issues not attributable to Binance Japan occur, or for any other reasons beyond Binance Japan’s control, the "Buy with PayPay Money" transaction cannot be executed and the order shall be void. Please note that the Settlement Price must be covered solely by the available balance of PayPay Money without combining with the Binance Japan account balance.
8 An order placed pursuant to paragraph 3 shall be deemed executed not at the time the user completes the order procedure, but when the order data reaches Binance Japan’s server and the prescribed procedures are completed, except where Binance Japan refuses execution pursuant to the Terms of Use or these Terms. If the "Buy with PayPay Money" transaction is executed but the order is not executed as described above, the user shall be deemed to have requested cancellation of the movement of PayPay Money related to the "Buy with PayPay Money" transaction and an increase of PayPay Money equivalent to the Settelement Price in the user’s PayPay Money Account, and Binance Japan shall instruct PayPay to increase the user’s PayPay Money Account balance accordingly.
9 The unit and maximum quantity of orders placed using the Service shall be separately determined by Binance Japan.
Article 6 ("Sell to PayPay Money" Orders)
1 Users may select "Sell to PayPay Money" only for Crypto Assets sell transactions on Binance Japan’s Convert service. Please note that the Service cannot be used for other Crypto Assets transactions, including Spot trading.
2 Notwithstanding the provisions of Article 12 of the Terms of Use, the provisions of this Article shall apply to orders using "Sell to PayPay Money."
3 When placing an order through "Sell to PayPay Money," users shall clearly instruct Binance Japan, by the method prescribed by Binance Japan, of the type of Crypto Assets to be sold, that the transaction is a Crypto Assets sell transaction, that "Sell to PayPay Money" is to be used, the sell amount or quantity, and any other matters to be instructed by the user.
4 Orders under the preceding paragraph shall be placed only through the Binance Japan over-the-counter trading service (Convert). In principle, orders shall not be accepted by telephone, fax, email, or other means, including in the event of system failures. However, this shall not apply if otherwise specified by Binance Japan.
5 When placing an order through "Sell to PayPay Money," the amount payable by Binance Japan to the user upon execution of the order (hereinafter "Proceeds") shall be automatically withdrawn to the user’s PayPay Money Account by PayPay.
6 The user shall instruct the Withdrawal to the PayPay Money Account set forth in the preceding paragraph and shall grant Binance Japan the authority to transmit such instruction on the user’s behalf.
7 Regarding the instruction for Withdrawal to the PayPay Money Account set forth in the preceding paragraph, the withdrawal amount shall be the Proceeds minus the withdrawal fee as set forth in Article 8 and applicable consumption tax thereon. If the Proceeds do not exceed the total of the withdrawal fee and applicable consumption tax, if the user does not have a PayPay Money Account, if the PayPay Money balance after such withdrawal would exceed PayPay’s prescribed limit, if there are restrictions due to PayPay Money charge (receipt) limits, if PayPay’s services are under maintenance, if the user’s PayPay Money Account is subject to usage restrictions, if communication errors or other issues not attributable to Binance Japan occur, or for any other reasons beyond Binance Japan’s control, Withdrawal to the user’s PayPay Money Account cannot be executed and the Proceeds shall be reflected in the user’s Binance Japan account.
8 An order placed pursuant to paragraph 3 shall be deemed executed not at the time the user completes the order procedure, but when the order data reaches Binance Japan’s server and the prescribed procedures are completed, except where Binance Japan refuses execution pursuant to the Terms of Use or these Terms. If the withdrawal of the Proceeds to the PayPay Money Account has been made but the execution is canceled for any reason, Binance Japan shall take procedures to recover the corresponding amount from the user.
9 The unit and maximum quantity of orders placed using the Service shall be separately determined by Binance Japan.
10 Withdrawal to the PayPay Money Account based on paragraph 5 requires a period prescribed by Binance Japan. Furthermore, if the withdrawal amount is large, or if prescribed procedures are required for any regulatory or compliance reasons, or for other reasonable reasons, this period may be extended.
Article 7 (Records of "Purchase with PayPay Money" and "Sell to PayPay Money")
Users can check the history related to the use of this Service on the confirmation screen within the Binance Japan Service.
Article 8 (Withdrawal Fee)
When Withdraw to the PayPay Money Account, a fee will be charged as a withdrawal fee. The fee amount is as posted on the fee information page of the website operated separately by Binance Japan.
